Consideration and Action of an inducement resolution for the purpose of taking “official action” as required by U.S. Treasury regulations relating to Section 103 of the Internal Revenue Code of 1986, as amended, authorizing the Board of Trustees of the Cleveland County Home Loan Authority, County of Cleveland, State of Oklahoma (the “Authority”) and giving preliminary approval of (I) the issuance and sale of Cleveland County Home Loan Authority Single Family Mortgage Revenue Bonds on a taxable or tax-exempt basis of a total aggregate principal amount not to exceed 'twenty-Seven Million Dollars ($27,000,000)(the “Bonds”); (II) the waiver of competitive bidding with respect to the sale of said Bonds; (III) authorizing and utilizing private activity volume cap and making application for private activity volume cap as necessary; (IV) authorizing conducting of the tax equity and fiscal responsibility act (“TEFRA”) hearing; (V) approving preliminary intent to authorize the utilization of certain funds made available by the Cleveland County Home loan Authority with respect to its Single Family Mortgage Revenue Bonds and in furtherance of its trust purposes and authorizing the officers to take all action necessary to effect the utilization and transfer of certain funds and execution of all related instruments and documents; (VI) authorizing the execution of all documents including but not limited to an Indenture, Supplemental Indentures and Bonds, Continuing Disclosure Agreement, an Origination, Servicing and Administration Agreement, Private Placement Memorandum or a Preliminary Official Statement and an Official Statement, a Bond Purchase Agreement and any other documents necessary or convenient to effectuate the foregoing and the taking of all actions as are necessary or convenient in connection with the issuance of the Bonds; (VII) hiring and designating professionals; and (VIII) ratifying certain action heretofore taken.
