Conduct a public hearing and approve, adopt and authorize the Chair to sign a resolution approving the issuance, solely for the purposes of Section 147(f) of the Internal Revenue Code of 1986, as amended, by the Public Finance Authority (Wisconsin), in one or more series, of tax-exempt 501(c)(3) revenue bonds in an amount not to exceed $1,100,000,000 in order to (a) finance (i) the acquisition of substantially all assets of Quorum Health Corporation, a Delaware corporation, which consist of hospitals, other healthcare facilities and related assets, including the acquisition of Mesa View Regional Hospital located at 1299-1301 Bertha Howe Avenue, Mesquite, NV 89027, in an aggregate principal amount not to exceed $60,000,000 and (ii) routine capital expenditures at any of the hospital facilities being acquired, including Mesa View Regional Hospital, in an aggregate principal amount not to exceed $2,000,000, (b) fund a debt service reserve fund for the Bonds, and (c) pay certain costs of issuance of the Bonds.
