Authorize the Chief Executive Officer for Natividad Medical Center (NMC) or a designee to execute a nonstandard agreement with UpToDate, Inc. for UpToDate Anywhere clinical decision support platform subscription services at NMC, for a maximum County obligation of $505,745 for the term of July 1, 2026 through June 30, 2029. b. Authorize the Chief Executive Officer for Natividad Medical Center (NMC) or a designee to execute up to three future amendments that do not exceed 10% ($50,575) of the original agreement, do not significantly alter the scope of services, and do not exceed the amount of $556,320. c. Approve the Natividad Medical Center’s Chief Executive Officer’s recommendation to accept non-standard indemnification, insurance, limitations on liability, and limitations on damages provisions within the agreement.
