a. Approve and authorize the Director of Health Services or the Assistant Director of Health Services to execute a retroactive Memorandum of Understanding between the County of Monterey and Primary Diagnostics, Inc. to provide essential data-exchange services to the California Department of Public Health (CDPH), for the term of July 1, 2025 through June 30, 2026 with no exchange in funds; b. Approve non-standard indemnity and insurance provisions as recommended by the Director of Health Services; and c. Approve and authorize the Director of Health Services or the Assistant Director of Health Services to sign up to three (3) future amendments that do not significantly change the scope of services.
