a. Approve and authorize the Director of Health Services or designee to sign a non-standard Software-As-A-Service (SaaS) Agreement with PDDS Buyer, LLC (“PDDS”) for the licensing subscription to the Apteryx dental imaging software, for an initial term of one year, which will then auto-renew for successive one (1) year renewal terms, unless earlier terminated, and a total contract amount for the initial one-year term not to exceed $6,330; b. Approve the recommendation of the Director of Health Services to accept the non-standard terms of the Agreement; and c. Approve and authorize the Contracts and Purchasing Officer or their designee to execute future amendments, provided they do not exceed an aggregate amount of $200,000 and fall within the signing authority of the Contracts and Purchasing Officer.
