a. Ratify execution by the Chief Executive Officer for Natividad Medical Center (NMC) of a Term Software License Agreement (“Agreement”) with Inspirata, Inc. for e-path licensing and support to provide cancer registry reporting and data abstraction at NMC, at no cost with a transitional license term retroactive to October 7, 2023 through December 15, 2023. b. Ratify execution by the Chief Executive Officer for Natividad Medical Center (NMC) of a Term Software Maintenance And Version Upgrade Agreement (“Extension 1”) with Inspirata, Inc. for e-path licensing and support to provide cancer registry reporting and data abstraction, extending the transitional license term an additional one (1) year period (retroactive to December 22, 2023 through December 21, 2024) for a revised full transitional license term of October 7, 2023 through December 21, 2024, and adding $16,000 for a total agreement amount not to exceed $16,000. c. Approve the NMC’s Chief Executive Officer’s recommendation to accept no indemnification, no insurance, and no liability for consequential damages, provisions within the Agreement, as amended by Extension 1.
