Award, and authorize the City Manager to Execute on behalf of the Mayor and Council, the attached CGI Advantage Cloud Master Agreement, including Exhibits thereto, with CGI Technologies and Solutions, Inc. a Delaware corporation having its principal place of business in Fairfax County, Virginia, in an amount not to exceed $6,101,511, for certain access to and use of the CGI cloud-based hosted CGI Advantage® release 4, to include set-up of the CGI Advantage® Cloud solution and other consulting and professional services for a term of ten (10) years, from July 1, 2023, to June 30, 2033, with authority for the City Manager to exercise an option to cancel the Agreement for convenience after July 1, 2025 for a fee not to exceed $275,000, or at any time for non-appropriation of funding at no additional cost to the City. Authorize the City Manager to Execute on behalf of the Mayor and Council, the attached Amendment No. 5 to the Proprietary Software Maintenance Agreement with CGI Technologies and Solutions, Inc. in order to replace Exhibit A to the Proprietary Software License Agreement, dated February 3, 2005, between the Mayor and Council and CGI Technologies and Solutions, Inc. Authorize and Direct the City Manager, with the concurrence of the City Attorney, to act as the Mayor and Council’s representative in approving non-material revisions to the CGI Advantage Cloud Master Agreement that are necessary to remove any ambiguity or inconsistency or which improve the City’s financial position and which revisions do not adversely affect the City financially, prior to or after execution of the documents.
